Grej — End User License Agreement / Terms of Service (DRAFT)

1. Acceptance and parties

These Terms form a binding agreement between [Grej Oy / Company legal name] ("Grej", "we") and the person or entity using the Grej application and platform ("you", "User"). By creating an account or using the service you accept these Terms. If you do not accept them, do not use the service.

2. Definitions

3. Licence to use the Service

Subject to these Terms, Grej grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own personal or internal business purposes. You may not copy, resell, reverse-engineer, or build a competing service from it, except where such restriction is prohibited by law.

4. Eligibility and accounts

You must be at least [16] years old (or the minimum age of digital consent in your country) to create an account. Accounts for minors within a Family workspace are managed by the account Owner, who is responsible for obtaining any required parental consent. You are responsible for the security of your credentials and for activity under your account.

5. Your Content and intellectual property

5.1 You keep your rights. You retain all ownership of your User Content. These Terms grant Grej no ownership of it.

5.2 Licence to operate the Service. You grant Grej a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, adapt and display your User Content solely to provide the Service to you and to those you authorise (household/Family members, invited collaborators, and — for operator accounts — the temporary guests you designate).

5.3 No cross-user sharing of your uploads. Except as you explicitly direct (§5.2), your uploaded documents and the knowledge Grej derives from them are scoped to your account and your shared assets. Grej does not make your uploaded third-party materials available to other, unrelated users.

5.4 No foundation-model training on your Content. Grej does not use your User Content to train general-purpose/foundation AI models. AI processing is performed to deliver the Service to you; see the Privacy Policy for sub-processors.

5.5 Aggregated and de-identified data. Grej may generate and use aggregated, de-identified and statistical information (which does not identify you or reproduce your copyrighted materials) to operate and improve the Service. Contribution to any cross-owner intelligence layer is subject to your separate, revocable consent.

6. Content warranties, rights and responsibilities

6.1 You warrant you have the rights. You represent and warrant that you own or have all necessary rights, licences and permissions to upload your User Content and to grant the licence in §5, and that your Content does not infringe any third party's intellectual property, privacy or other rights.

6.2 Copyright of manuals and third-party materials. Product manuals, service documentation and similar materials are often copyrighted by their manufacturer. You are responsible for ensuring your upload and use of such materials is permitted (e.g. for your own asset). You must not upload materials you are not entitled to use.

6.3 Prohibited content. You must not upload content that is unlawful, infringing, malicious, or that you are not entitled to share. See the Acceptable Use Policy.

6.4 Indemnity. You agree to indemnify and hold Grej harmless from claims, damages and costs arising from your User Content or your breach of §6.

7. Copyright complaints and takedown

Grej operates a notice-and-action process. Rights holders may submit a takedown notice to [copyright@grej…] with the information required by applicable law (identification of the work, the allegedly infringing material, contact details, and a good-faith statement). Grej will act on valid notices, may remove or disable access to reported material, and maintains a repeat-infringer policy under which accounts may be suspended or terminated. This process is designed to operate consistently with applicable hosting-provider safe-harbour rules (e.g. EU Digital Services Act notice-and-action; US DMCA §512 where relevant).

8. AI features — important limitations

8.1 AI Features generate information to assist you. They may be incomplete, inaccurate or outdated, and are not professional, legal, medical, engineering or safety advice.

8.2 You remain responsible for how you operate, maintain and repair your assets. For any safety-critical, regulated or professional task, follow the manufacturer's official documentation and consult a qualified professional. Do not rely solely on AI output.

8.3 AI-generated content is labelled as such where required. You must not represent AI output as professional certification.

9. Acceptable use

You agree not to misuse the Service, including: uploading infringing or unlawful content; attempting to access other users' data; automated scraping; circumventing quotas or security; using the Service to build a competing dataset or model; or any use that violates applicable law. Details in the Acceptable Use Policy.

10. Subscriptions, billing and AI Credits

10.1 Paid plans, prices and included allowances are described at point of sale. AI usage is metered as AI Credits with fair-usage limits; exceeding limits may result in graceful degradation or optional top-ups.

10.2 Renewals and cancellation. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time; access continues until the end of the paid period.

10.3 App-store purchases are additionally governed by the applicable app store's terms; refunds for those purchases follow the app store's policy.

10.4 Right of withdrawal (EU consumers). Where a statutory withdrawal right applies to digital services, you acknowledge that by starting to use the Service during the withdrawal period you may lose that right, to the extent permitted by law.

11. Privacy and data protection

Grej processes personal data as described in the Privacy Policy, which forms part of these Terms. For business/operator customers acting as data controllers, a Data Processing Agreement governs Grej's processing on their behalf.

12. Service availability and changes

The Service is provided on an "as available" basis. Grej may modify, suspend or discontinue features. We will give reasonable notice of material adverse changes where required by law.

13. Disclaimers

To the maximum extent permitted by law, the Service and AI Features are provided "as is" without warranties of any kind. Nothing in these Terms excludes or limits rights that cannot be excluded or limited under mandatory consumer-protection law applicable to you.

14. Limitation of liability

To the maximum extent permitted by law, Grej is not liable for indirect, incidental or consequential damages, or for loss of data, profit or goodwill. Grej's aggregate liability is limited to the amount you paid for the Service in the [12] months before the claim. These limitations do not apply to liability that cannot be limited under mandatory law (including for death or personal injury caused by negligence, or for gross negligence or wilful misconduct).

15. Term and termination

You may stop using the Service and delete your account at any time. Grej may suspend or terminate access for breach of these Terms (including repeat infringement or unlawful use). On termination, your licence ends; data handling on deletion is described in the Privacy Policy.

16. Governing law and disputes

These Terms are governed by the laws of [Finland], without prejudice to the mandatory consumer protection law of your country of residence, which continues to apply. Disputes are subject to the competent courts of [Finland], subject to any consumer's right to bring proceedings in their home jurisdiction. EU consumers may also use the EU Online Dispute Resolution platform.

17. Changes to these Terms

We may update these Terms. Material changes will be notified in advance where required; continued use after the effective date constitutes acceptance.
